Terms of Service

These terms of service ("Terms") govern your use of the Kendo project management platform ("Service") operated by Back to code B.V. ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

2. The Service

Kendo is a project management platform for development teams. The Service includes issue tracking, board management, sprints, time tracking, reporting, GitHub integration, and API/MCP tool access.

We provide the Service on an "as is" and "as available" basis. We aim for high availability but do not guarantee uninterrupted access.

3. Accounts

3.1 Registration

To use Kendo, you must create an account with a valid email address. You are responsible for maintaining the security of your account credentials, including your password and any two-factor authentication methods.

3.2 Workspaces

Each account belongs to one or more workspaces. The workspace administrator is responsible for managing members and their access levels within the workspace.

3.3 Accuracy

You agree to provide accurate and complete information when creating your account and to keep it up to date.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorised access to the Service, other accounts, or our systems
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malicious code, viruses, or harmful content
  • Use the Service to send spam or unsolicited communications
  • Scrape, crawl, or use automated tools to extract data from the Service beyond the provided API
  • Reverse engineer, decompile, or disassemble the Service
  • Resell or redistribute the Service without our written permission
  • Circumvent any rate limits, usage quotas, or security measures

We reserve the right to suspend or terminate accounts that violate these terms.

5. Your data

5.1 Ownership

You retain all rights to the content and data you create in Kendo. We do not claim ownership of your project data, issues, comments, attachments, or any other content you upload.

5.2 Licence to us

You grant us a limited licence to store, process, display, and transmit your data solely for the purpose of providing the Service. This licence ends when you delete your data or close your account.

5.3 Data processing

We process your data in accordance with our Privacy Policy. All data is stored in the European Union (Amsterdam, Netherlands).

5.4 Export

You may export your data at any time through the Service's export functionality or API. Upon termination, we will make your data available for export for a reasonable period (minimum 30 days) before permanent deletion.

5.5 Backups

We maintain regular backups for disaster recovery. Backups are retained for a maximum of 30 days and are then permanently deleted.

6. Intellectual property

6.1 Our property

The Service, including its design, code, features, and documentation, is the property of Back to code B.V. and is protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

6.2 Feedback

If you provide feedback or suggestions about the Service, we may use them without restriction or obligation to you.

7. Third-party integrations

7.1 GitHub

If you connect Kendo to GitHub, your use of GitHub is subject to GitHub's own terms of service. We are not responsible for GitHub's availability or their handling of your data.

7.2 MCP and API access

The Service provides API and MCP (Model Context Protocol) tools for integration with AI coding assistants and other tools. You are responsible for the actions taken through these integrations, including by automated agents acting on your behalf.

8. Availability and support

8.1 Uptime

We aim to provide a reliable service but do not guarantee specific uptime percentages. We will communicate planned maintenance in advance when possible.

8.2 Support

Support is available via email at [email protected]. We aim to respond within reasonable timeframes but do not guarantee specific response times.

9. Pricing and payment

9.1 Plans

Details about available plans and pricing are published on our website. We reserve the right to change pricing with at least 30 days' notice.

9.2 Free tiers

If a free plan is offered, we reserve the right to modify or discontinue it with 30 days' notice.

9.3 Refunds

Refund requests are handled on a case-by-case basis. Contact us at [email protected].

10. Limitation of liability

To the maximum extent permitted by Dutch law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for any loss of data, revenue, or profits arising from your use of the Service
  • Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for interruptions, delays, or failures caused by circumstances beyond our reasonable control (force majeure)

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

12.1 By you

You may close your account at any time through your account settings or by emailing us. Upon closure, your data will be soft-deleted and permanently removed after 30 days.

12.2 By us

We may suspend or terminate your account if you violate these Terms, if required by law, or if we discontinue the Service. We will provide reasonable notice when possible.

12.3 Effect of termination

Upon termination, your right to use the Service ends. Sections that by their nature should survive (intellectual property, limitation of liability, governing law) will remain in effect.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms or the Service will be submitted to the competent court in Groningen, the Netherlands.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Back to code B.V. regarding the Service.
